Before you sell, read the contract
Six points decide how and to whom you can sell.
The brand's consent
The contract is tied to you personally: the buyer must be approved by the brand. Tell the brand before you look for buyers.
How long until it expires
A contract with many years left is worth more. Leaving early can cost you penalties.
Royalties and transfer fee
Buyers want to know how much they pay the brand each month and whether they will have to pay a fee to take over.
The right of first refusal
Some contracts give the brand the right to buy first, on the same terms. Check whether yours does.
The lease on the premises
The lease usually passes with the business, but the landlord must be told.
The non-compete clause
After the sale, for a few years you will not be able to open the same kind of business in the same area.
How to sell a franchise business
- Step 1
Talk to the brand
Ask how the handover works: timing, requirements for the buyer and any costs.
- Step 2
Set the price
Start from the profit of recent years. The years left on the contract and how well known the brand is in your area also count.
- Step 3
Publish the listing
Give the sector, area and figures. You can show the brand name only to the people who contact you.
- Step 4
Introduce the buyer to the brand
When you find the right person, the brand meets them and approves the takeover. Then you sign at the notary's.
What to know before you sell
What the new owner buys
The business with its customers, the equipment, the lease on the premises and, if the brand agrees, the franchise contract with the years that remain. For the lease, there is a guide on selling a business and the lease agreement.
If the brand says no
In Italy, franchising is governed by Law 129 of 2004 and by your contract: if the brand does not approve the person you have found, you can look for another buyer or sell the business under a different name. In that case the buyer does not pay the brand and the price usually goes down.
Taxes and contract
Before the deed, a preliminary contract is usually signed. You pay tax on what you earn from the sale, as the guide on taxes on the sale explains.
