Attivita24 provides you with this online marketplace for buying and selling businesses, together with all the information, tools, and services available on it, on the condition that you, as a user, accept all the terms, conditions, notices, and disclaimers set forth here.

By visiting our website and/or using our services, you use our "Service" and agree to be bound by the following terms and conditions ("Terms of Service," "Terms"). These Terms apply to all users of the website, including visitors, sellers, buyers, brokers, and content creators.

Read these Terms carefully before accessing or using our marketplace. By accessing or using any part of the website, you agree to be bound by these Terms. If you do not accept all the terms of this agreement, you may not access the website or use its services.

2. Definitions

• Marketplace: the Attivita24 online platform for buying and selling businesses.
• Seller: a user who posts listings to sell businesses.
• Buyer: a user interested in buying businesses.
• Broker: an authorized professional who facilitates transactions.
• Business: a company, fondo di commercio (commercial goodwill), or business activity offered for sale.
• Listing: a listing posted by a Seller to sell a Business.

3. Access and registration

3.1 Age requirements: you represent that you are at least 18 years old. Minors may not use our services.
3.2 Registration: to use certain Service features, you must register and provide accurate and complete information. You are responsible for the security of your account and password.
3.3 Identity verification: we reserve the right to request identity verification documents to ensure transaction security.

4. Marketplace services

4.1 Nature of the service: Attivita24 provides a technology platform that allows Sellers and Buyers to connect. We are not a party to transactions between users. We do not provide financial, legal, or business advice and do not guarantee the outcome of negotiations.
4.2 Posting listings: Sellers may post listings by providing accurate and complete information.
4.3 Searching and contacting: Buyers may search for businesses and contact Sellers through the platform.
4.4 Statistics: we provide anonymous statistics on views and interest in listings using privacy-compliant systems.

5. User responsibilities

5.1 Sellers:

• Provide accurate and up-to-date information about businesses for sale.
• Have the legal right to sell the advertised business.
• Respond promptly to requests for information.
• Maintain confidentiality during negotiations.
• Do not post fraudulent or misleading listings.

5.2 Buyers:

• Conduct their own due diligence on businesses of interest.
• Independently verify all information provided.
• Comply with confidentiality agreements.
• Do not use information obtained for purposes other than evaluating a purchase.

5.3 All users:

• Use the service only for lawful and legitimate purposes.
• Do not post defamatory, illegal, or inappropriate content.
• Respect intellectual property rights.
• Do not attempt to circumvent the platform's fees.

6. Content and listings

6.1 Ownership of content: you grant Attivita24 a nonexclusive, royalty-free, transferable, worldwide license to use, reproduce, modify, and distribute content you post for the purpose of operating and promoting the marketplace.
6.2 Moderation: we reserve the right to moderate, modify, or remove content that violates these Terms or is deemed inappropriate.
6.3 Accuracy: you are responsible for the accuracy and legality of the content you post.
6.4 Removal: we may remove listings that violate these Terms or for security reasons.

7. Fees and payments

7.1 Fee structure: fees for services are detailed on the pricing page and may vary based on the type of service used.
7.2 Payments: payments are processed through certified payment service providers (Stripe). We do not store credit card information.
7.3 Refunds: once the listing or promotion service has been activated, refunds are not available because the service is considered to have begun and to have been used by the user. However, users may request a refund within 48 hours of purchase, provided that the service has not yet been provided or activated. Requests must be sent to hello@attivita24.com. By completing the payment, the user confirms acceptance of the immediate provision of the service and waives the right of withdrawal pursuant to art. 59, lett. o) of D.Lgs. 206/2005.

8. Privacy and data protection

8.1 Privacy notice: the processing of personal data is governed by our Privacy Policy.
8.2 Anonymous statistics: we use anonymous analytics systems to track views and prevent spam, in compliance with the GDPR.
8.3 Communications: you agree to receive service communications necessary to manage the relationship. Promotional communications are sent as described in the Privacy Policy, and you may opt out at any time using the unsubscribe link included in every email or by writing to hello@attivita24.com.

9. Transactions and due diligence

9.1 Nature of transactions: Attivita24 facilitates contact between the parties but is not a party to purchase and sale transactions.
9.2 Due diligence: conducting appropriate checks on the business of interest is the Buyer's sole responsibility.
9.3 Legal documentation: the parties must use qualified legal assistance to draft and review purchase and sale agreements.
9.4 Confidentiality: the parties must comply with confidentiality agreements during negotiations.

10. Limitations of liability

10.1 Disclaimer of warranties: we provide the platform "as is," without any warranties regarding information posted by users. Promotional services do not guarantee a minimum number of views or contacts.
10.2 No liability for transactions: we are not responsible for:

• The accuracy of information in listings.
• The good faith of the parties to transactions.
• The completion of transactions.
• The quality of advertised businesses.
• Losses arising from transactions between users.

10.3 Limitation of damages: our liability is limited to a maximum of the fees paid in the last 12 months.

11. Prohibited uses

The following are expressly prohibited:

• Posting false or misleading information.
• Using the platform for illegal purposes.
• Circumventing the fee system.
• Copying or misusing other users' data.
• Interfering with the operation of the service.
• Posting content that violates the rights of third parties.
• Using unauthorized bots or automated systems.
• Creating multiple accounts to circumvent restrictions.

12. Intellectual property

12.1 Trademarks: "Attivita24" and all related trademarks are our property.
12.2 Platform content: the platform's software, design, and content are protected by copyright.
12.3 License to use: we grant you a limited, revocable license to use the platform.

13. Suspension and termination

13.1 Account suspension: we may suspend accounts that violate these Terms.
13.2 Termination: we may terminate accounts for serious or repeated violations.
13.3 Effects of termination: upon termination, you will lose access to all account services and content.

14. Changes to the Terms

We reserve the right to change these Terms at any time. Material changes will be communicated by email. Continued use of the platform constitutes acceptance of the changes.

15. Dispute resolution

15.1 Governing law: these Terms are governed by Italian law.
15.2 Jurisdiction: for users who qualify as consumers under D.Lgs. 206/2005, the court of the consumer's place of residence or elected domicile shall have exclusive and nonwaivable jurisdiction. For all other users, the Court of Milan shall have exclusive jurisdiction.
15.3 Mediation: before bringing a matter before the courts, the parties agree to attempt an amicable resolution. Consumers may also use the European Online Dispute Resolution (ODR) platform: ec.europa.eu/consumers/odr.

16. Force majeure

We will not be liable for failures to perform due to force majeure, including natural events, government actions, and interruptions to third-party services.

17. General provisions

17.1 Severability: if a provision is invalid, the remaining provisions will remain in effect.
17.2 Entire agreement: these Terms constitute the entire agreement between the parties.
17.3 Assignment: you may not assign your rights without our written consent.
